Vakyya Terms of Service

1. Introduction
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Parakletos AI Limited, a company registered in England and Wales (Company Number: 16504323), with its registered office at First Floor, 85 Great Portland Street, London W1W 7LT ("Company", "we", "us", or "our").
These Terms govern your access to and use of the Vakyya application and related services (collectively, the "Service"), including our mobile applications, web interfaces, and APIs.
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
If you are using the Service on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms, and references to "you" include that organisation.
2. Definitions
"Content" means any video, audio, text, images, subtitles, captions, or other materials uploaded to, processed by, or generated through the Service.
"Generated Output" means subtitles, captions, translations, or processed video files created by the Service from your uploaded Content.
"Minutes" means the units of processing time used to measure Service usage. Actual minute consumption may vary based on processing settings, language pairs, and media characteristics.
"Subscription" means a recurring payment plan that provides access to premium features of the Service.
3. Account Registration
3.1 Eligibility
You must be at least 16 years of age to create an account and use the Service. By registering, you represent and warrant that you meet this age requirement.
3.2 Account Information
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account.
3.3 Account Security
You must notify us immediately at support@vakyya.com if you become aware of any unauthorised access to or use of your account.
3.4 Sanctions and Export Control
You may not use the Service if you are located in, or a resident of, any country subject to UK, EU, or US comprehensive sanctions, or if you are on any applicable denied-party list. You are responsible for compliance with all applicable export control and sanctions laws.
4. Service Description
4.1 Core Functionality
Vakyya provides AI-powered transcription, captioning, and translation services for video and audio content. The Service utilises artificial intelligence to generate subtitles, captions, and translations in multiple languages.
4.2 Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our reasonable control.
4.3 Service Modifications
We may modify, update, or enhance the Service from time to time. Where changes materially reduce core functionality of the Service, we will provide reasonable notice where practicable. If we discontinue a paid plan entirely, we will provide a reasonable transition period and, for web purchases, pro-rata refunds for any unused prepaid period (App Store purchases are handled by the respective stores).
5. Free Tier and Paid Subscriptions
5.1 Free Tier
New users receive a Free tier allocation that renews each calendar month. Free Tier usage is subject to the following limitations:
- 150 Minutes of processing per calendar month (does not roll over between months)
- All Generated Output will include a "Vakyya" watermark
- Each job may be translated into a single target language; translation into multiple target languages requires a paid plan
- Processing is limited to 3 jobs per 24-hour period
- Standard processing queue (paid plans receive priority)
- Access to certain advanced features may be restricted
Actual Minute consumption may vary based on processing settings, language pairs, and media characteristics.
5.2 Paid Subscriptions
We offer the following subscription tiers. Current pricing is displayed at checkout and within the app. UK customers are charged in pounds sterling (£); customers in other regions are charged in US dollars ($) unless a local-currency option is offered at checkout.
Pro Plan:
- Monthly: $19/month (£19/month for UK customers) — includes 300 Minutes per calendar month
- Annual: $189/year (£189/year for UK customers) — includes 300 Minutes per calendar month over the 12-month term (approximately 17% discount on subscription cost)
Pro plan features: no watermarks, custom subtitle styling, and priority processing queue. Monthly Minute allocations do not roll over between months.
Pro Max Plan:
- Monthly: $99/month (£99/month for UK customers) — unlimited processing
- Annual: $999/year (£999/year for UK customers) — unlimited processing (approximately 16% discount on subscription cost)
Pro Max plan features: all Pro features plus highest-priority queue access. Unlimited Minutes are subject to reasonable fair use, abuse prevention, and technical limits (including rate limiting and queuing) to protect service quality for all users.
All prices are inclusive of UK VAT at the prevailing rate where Parakletos AI Limited is VAT-registered and the customer is in the UK. Customers outside the UK may be charged applicable local taxes by the relevant payment platform (Stripe, Apple, Google).
If you exceed your monthly allocation on Pro, you may purchase additional Minutes or upgrade to Pro Max.
5.3 Subscription Management and Cancellation
Web (Stripe): You may cancel your subscription at any time through your account settings or by contacting support@vakyya.com.
App Store (iOS) / Google Play (Android): Subscriptions purchased through Apple or Google must be managed and cancelled via your Apple ID or Google Account subscription settings. We cannot cancel store subscriptions on your behalf.
Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of your paid period.
6. Payments, Cancellation, and Refunds
6.1 Payment Processing
Payments are processed through the following third-party payment processors:
- Web: Stripe
- iOS: Apple App Store
- Android: Google Play Store
We do not store or have access to your complete payment card details. All sensitive payment information is handled exclusively by our payment processors in accordance with PCI DSS requirements.
6.2 UK and EU Consumer Cancellation Rights (Web Purchases)
If you are a consumer in the United Kingdom or the European Union purchasing via our website (Stripe), you have a statutory right to cancel your subscription within 14 days of purchase without giving any reason — in the UK under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, and in the EU under the Consumer Rights Directive (Directive 2011/83/EU) as implemented in your country of residence.
To exercise your right to cancel: Contact us at support@vakyya.com stating your wish to cancel. You may use the following wording: "I wish to cancel my Vakyya subscription."
Effect of cancellation: We will reimburse all payments received from you without undue delay, and in any event within 14 days of receiving your cancellation notice.
Immediate service delivery: If you request that we begin providing the Service immediately (before the 14-day cancellation period expires), and you later cancel within the 14-day period, you will be charged a proportionate amount for the Service provided up to the point of cancellation.
6.3 App Store Purchases (iOS/Android)
Refunds and cancellations for purchases made through Apple App Store or Google Play Store are subject to the respective platform's refund policies and must be requested directly through those platforms.
6.4 Voluntary Refunds (Web)
Outside of statutory rights, pro-rated refunds for web purchases of any subscription tier (including Pro and Pro Max) may be available at our discretion if requested via support@vakyya.com within 7 days of purchase.
6.5 Price Changes
We reserve the right to modify subscription prices upon 30 days' notice. Price changes will not affect the current billing period but will apply to subsequent renewals. For App Store and Google Play purchases, price changes are handled via the relevant store's rules and notification mechanisms.
7. Intellectual Property Rights
7.1 Your Content
You retain full ownership of all Content you upload to the Service. You also retain full ownership of all Generated Output created from your Content.
7.2 Licence Grant to Us
By uploading Content to the Service, you grant Parakletos AI Limited a limited, non-exclusive, royalty-free licence to process and store your Content solely for the purpose of providing the Service to you. This licence terminates automatically upon deletion of your Content from our systems.
7.3 Third-Party Content and Personal Data
You are responsible for ensuring you have all necessary rights, permissions, and lawful basis to upload and process Content that includes third-party intellectual property or personal data (including voices and images of other people), and for providing any required notices or obtaining any required consents from those third parties.
7.4 Our Intellectual Property
The Service, including its original content, features, and functionality, is owned by Parakletos AI Limited and is protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent.
7.5 Feedback
If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us an unrestricted, perpetual, irrevocable, non-exclusive, royalty-free licence to use such feedback for any purpose.
8. Acceptable Use
8.1 Prohibited Content
You agree not to upload, process, or distribute Content that:
- Contains child sexual abuse material (CSAM) or exploits minors in any way
- Promotes terrorism, violence, or incites hatred against individuals or groups
- Constitutes harassment, bullying, or threats against any person
- Infringes upon the intellectual property rights of others
- Contains pornographic, sexually explicit, or obscene material, including any depiction of non-consensual sexual acts
- Violates any applicable law or regulation
8.2 Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorised access to the Service or related systems
- Interfere with or disrupt the Service or servers connected to the Service
- Use automated systems to access the Service in a manner that exceeds reasonable use
- Scrape, reverse-engineer, or use automated extraction of outputs at scale
- Resell, sublicense, or commercially exploit the Service without authorisation
8.3 Rate Limits and Abuse Prevention
We reserve the right to throttle, queue, reject jobs, require additional verification, or suspend accounts exhibiting abnormal or abusive usage patterns, in order to protect service quality for all users.
8.4 Content Monitoring
We reserve the right, but are not obligated, to monitor Content processed through the Service. We may use automated detection systems and respond to user reports to identify prohibited Content.
8.5 AI-Generated Output and Transparency
Generated Output produced by the Service is created by AI systems. Where you publish, distribute, or otherwise make Generated Output available to others, you are responsible for complying with any disclosure obligations that apply in your jurisdiction, including transparency obligations for AI-generated or AI-assisted content under the EU AI Act (Regulation (EU) 2024/1689) where applicable. We may include machine-readable provenance or watermarking signals in Generated Output to support these obligations.

9. Copyright and Takedowns
9.1 Respect for Copyright
You represent and warrant that you have all necessary rights to the Content you upload, including the right to have such Content processed by the Service.
9.2 Copyright Complaints
We respect the intellectual property rights of others and comply with the Digital Millennium Copyright Act (DMCA) for US complainants and the Copyright, Designs and Patents Act 1988 and the Electronic Commerce (EC Directive) Regulations 2002 for UK complainants. If you believe Content on our Service infringes your copyright, you may submit a takedown notice to our designated agent:

We aim to respond to all valid takedown notices as soon as reasonably practicable, typically within 24-48 hours depending on volume and severity.
9.3 Counter-Notification
If you believe your Content was removed in error, you may submit a counter-notification to security@vakyya.com containing the information required under applicable law.
10. Data Protection
Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which forms part of these Terms. The Privacy Policy describes the lawful bases on which we rely under UK GDPR (including performance of contract, legitimate interests, legal obligation, and, where applicable, consent).
11. Disclaimers
11.1 Service Provided "As Is"
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11.2 No Guarantee of Accuracy
We do not warrant that transcriptions, translations, or other Generated Output will be completely accurate, error-free, or suitable for any particular purpose. You are responsible for reviewing and verifying all Generated Output before use.
11.3 Third-Party Services
The Service relies on third-party providers for certain functionality. We are not responsible for the availability, accuracy, or reliability of such third-party services.
12. Limitation of Liability
12.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PARAKLETOS AI LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
12.2 Cap on Liability
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) £100.
12.3 Essential Purpose
THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
12.4 Statutory Rights
Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded under applicable law. Nothing in these Terms affects your statutory rights as a consumer.
13. Indemnification
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Parakletos AI Limited, its officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) Content you upload to the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights, including intellectual property rights. This section does not apply to the extent that a claim arises from our negligence or wilful misconduct.
14. Termination
14.1 Termination by You
You may terminate your account at any time by using the account deletion feature within the Service or by contacting support@vakyya.com.
14.2 Termination by Us
We may suspend or terminate your access to the Service for material breach of these Terms, illegal activity, or persistent violation of our Acceptable Use Policy. Where practicable, we will provide notice and an opportunity to remedy before termination, except in cases requiring immediate action to protect the Service or other users.
14.3 Effect of Termination
Upon termination, your right to use the Service will immediately cease. Account deletion initiates a 30-day purge cycle, after which all your Content and personal data will be permanently deleted from our active systems, except as required by law or as described in our Privacy Policy.
14.4 Survival
Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
15. General Provisions
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
15.2 Dispute Resolution
Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. Nothing in these Terms affects your statutory rights to bring proceedings in your country of residence.
15.3 Entire Agreement
These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Parakletos AI Limited regarding the Service.
15.4 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
15.5 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
15.6 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
15.7 Amendments
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website, displaying a notice within the Service, or sending an email notification at least 14 days before changes take effect. Your continued use of the Service after such changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you may terminate your account before the changes take effect.
